Subir el video al sitio de AudPop en formato HD 720p 16x9. Archivos en formato MP4 también son aceptados. Los Códecs aceptables son H.264 y deberás subir un archivo menor a 500MB. Si eres seleccionado para el acuerdo de distribución de Canela Media, también será necesario proveer un archivo de 1080p. mov hacia arriba, usando un ProRes, Animación o un códec sin comprimir.
A menos que se indique lo contrario, todo el contenido debe de ser original y libre de material con derechos de autor. Deberás proveer información detallada de tu trabajo con respecto a la fuente, el creador e información sobre los antecedentes como lo requieren AudPop y Canela Media. Canela cubrirá los derechos legales en un contrato a largo plazo con los ganadores después de que la campaña cierre y los ganadores hayan sido seleccionados.
En el caso de utilizar material de terceros, como música de proveedores que no sean AudPop, deberás obtener licencia y consentimiento del propietario del material de terceros y ser capaz de proveer dicha licencia y consentimiento a AudPop.
Tu película debe de estar en español y en caso de que este en inglés, deberá de tener subtítulos en español.
El material enviado no puede contener lenguaje ofensivo, desnudez o material objetable de otro modo, cuya determinación queda únicamente a discreción del Patrocinador. La clasificación del material deberá de ser PG-13, PG o G.
El material enviado no deberá representar al Patrocinador de manera negativa. La determinación queda a únicamente a discreción del Patrocinador.
Al inscribirse a esta campaña, aceptas que tu trabajo puede ser objeto de una votación pública en el sitio web de AudPop. La votación pública puede ser usada para que el patrocinador del proyecto determine el orden final del ranking.
Los cineastas pueden enviar tanto material como deseen a este concurso.
Deberás tener al menos trece años para participar.
El patrocinador se reserva el derecho a volver a publicar el concurso.
Además de los criterios para juzgar el material establecidos en las REGLAS OFICIALES, los lanzamientos también serán evaluados por la habilidad del concursante para ejecutar en video final a partir de su trabajo anterior y su experiencia como cineasta.
El patrocinador tendrá derecho a una revisión dentro de lo razonable a los videos finalistas sin proveer una compensación adicional. Recuerda que es más fácil re editar o re grabar, así que intenta tener la mayor cobertura posible.
Ve a las reglas oficiales para información adicional en concurso, términos y condiciones. Si hay algún conflicto o inconsistencia entre estos requerimientos y las reglas oficiales, los términos y condiciones de estos requerimentos prevalecerán.

LAS COMPRAS NO SON NECESARIAS. UNA COMPRA NO AUMENTA TUS POSIBILIDADES DE GANAR.
GENERALES
El azar no juega ningún papel en la selección de los ganadores en cualquiera de los concursos, campañas, ofertas abiertas, solicitudes de lanzamiento o solicitudes de propuesta administradas por la “Audience Awards Inc DBA” AudPop (“AudPop”). Las campañas que son denomidas como concursus son basadas en habilidades. Estas reglas oficiales forman un acuerdo legal entre el concursante y AudPop en relación a todas las campañas basadas en habilidades en las que participes. Se te pedirá que revises y aceptes cumplir estas reglas oficiales, así como aceptar ciertas estipulciones como una condición a cualquier envío que hagas en conexión con cada campaña. Deberás seguir las instrucciones y envíar tu material para ser considerado en una campaña.
Estas Reglas Oficiales proveen las reglas generales aplicables a todas las campañas de AudPop, y cada campaña puede tener reglas adicionales localizadas en las páginas de “Detalles De Campaña” y/o “Requisitos De Campaña” de cada campaña, que suplementan o reemplazan partes de estas Reglas Oficiales. Cualquier referencia dentro de estas Reglas Oficiales a “Reglas Oficiales” respecto a cualquier campaña deberán ser considerados como una referencia a estas Reglas Oficiales y las páginas de Detalles de Campaña para tal Campaña, como un todo. En caso de que exista algún conflicto o inconsistencia entre las Reglas Oficiales y las reglas u otra información provista por las páginas de los Detalles de Campaña para cualquier campaña, las reglas o cualquier otra información dentro de las páginas de Detalles de Campaña deberán de prevalecer. Estas Reglas Oficiales pueden ser modificadas de vez en cuando por AudPop sin previo aviso a los miembros (como se define debajo), y cualquier modificación será efectiva a partir de la fecha en la cual sea publicada en el sitio web de AudPop en: https://www.AudPop.com (the "Website").

SECCIÓN 1: ELEGIBILIDAD
Las Campañas están abiertas solo a personas naturales, a partir de los trece años hacia arriba en el momento del envío (o la edad específicada en la página de Detalles de Campaña para cada campaña en particular), que estén registrados como usuarios del sitio web (“Member”). Todas las referencias dentro de estas Reglas Oficiales a “ti” (incuyendo las referencias a “su”) son hacia ti, en tu capacidad como Miembro. Cuando un menor (para estos propósitos, una persona menor de 18 años o 19 años si reside en Nebraska o Alabama o menor de 21 años en Missippi, al momento de enviar el material) envíe material para alguna campaña, deberá de tener el permiso de su padre o tutor e incluir el nombre e información de contacto del padre o tutor donde se indique. Si un menor gana el premio, el premio será entregado al padre o tutor, quien deberá contar con los documentos necesarios en nombre del menor como condición del pago de AudPop de cualquier dinero del premio. Si tú eres un menor, cualquier referencia de las Reglas Oficiales a “tú” deberán referirse a tu padre o tutor, en tu nombre. AudPop no asume la responsabilidad dentro de las disputas entre el menor y los padres o tutores.
Las campañas no están abiertas a residentes de Cuba, Irán, Syria, Corea del Norte, al gobierno de Sudán y Quebec, o a otros individuos que tengan restricciones por parte de los controles de exportación y sanciones de Estados Unidos. Los siguientes individuos no pueden participar en una campaña: empleados, contratistas, directores y oficinistas de AudPop o del patrocinador de la campaña identificado en la página de Detalles de la Campaña, y de las respectivas compañias matrices, subsidiarias y afilidias, distribuidores, diseñadores web, publicidad, jueces y agencias de Campaña involucradas en la administración, desarrollo y ejecución de dicha campaña y cualquier esposo/a, padre o hijo de dichas partes.
AL ENTRAR A UNA CAMPAÑA, TÚ AFIRMAS QUE:

ACEPTAS ESTAS REGLAS OFICIALES, LOS TÉRMINOS DE USO DE LA PÁGINA WEB Y OTROS REQUISISTOS PUBLICADOS EN LA PÁGINA DE DETALLES DE LA CAMPAÑA
ACEPTAS TODAS LAS DECISIONES TOMADAS POR LOS JUECES, LAS CUALES SON FINALES Y CONCLUSIVAS RESPECTO A TODOS LOS ASUNTOS RELACIONADOS A LAS CAMPAÑAS.
ACEPTAS PROVEER TUS SERVICIOS AL PATROCINADOR EN TU NOMBRE
ENTIENDES QUE ERES LIBRE DE PROVEER TUS SERVICIOS A OTRAS ENTIDADES DE NEGOCIOS.
REPRESENTAS, GARANTIZAS Y PACTAS QUE TU ESTAS COMPROMETIDO A PROVEER SERVICIOS DE LA MISMA NATURALEZA A LOS SERVICIOS PROPORCIONADOS POR AUDPOP.
ENTIENDES QUE LOS SERVICIOS QUE PROPORCIONAS ESTÁN FUERA DEL CURSO USUAL DEL NEGOCIO DE AUDPOP
ERES LIBRE DE EL CONTROL Y DIRECCIÓN DE AUPOP EN CUANTO A PROVEER CUALQUIER SERVICIO.

SECCIÓN 2: CAMPAÑAS
Los periódios de envío para cada campaña, en las distintas fases de la campaña, serán establecidos en la página de detalles de la campaña. AudPop se reseva el derecho a extender la fecha límite para los envíos de cualquier campaña o cualquier fase de la campaña.

SECCIÓN 3: ADMINISTRACIÓN DE LAS CAMPAÑAS
Cualquier campaña puede tener una estructura distinta a otras campaña. Por ejemplo, algunas campañas pueden tener una sola fase (Crear un video musical, producir un video “how to”, o inventar un eslogan para alguna marca o servicio), mientras otras pueden tener varias fases (la fase uno puede ser inventar una idea para la publicidad de un producto, la fase dos puede ser desarrollar una idea para el anuncio de dicho producto y la tercera fase puede ser producir el video de un anuncio de 30 segundos). Otras Campañas pueden requerir ofertas o lanzamientos, algunos serán revisados y otros serán seleccionados por el Patrocinador

a. Envíos de Material

EN LA PÁGINA DE DETALLES DE LA CAMPAÑA ESTÁ EL LÍMITE DE ENVÍOS QUE SE PUEDEN REALIZAR POR MIEMBRO. CUALQUIER MATERIAL ENTREGADO EN PERSONA, POR CORREO, POR FAX O POR CUALQUIER OTRA VÍA QUE NO SEA ENVÍO POR LA PÁGINA WEB NO SERÁ ACERPTADO.
El material no deberá ser enviado por más de un miembro. Si el material es desarrollado por más de una persona, solo el miembro que haya enviado el material a la campaña podrá ser galardonado con el premio. Todo el material deberá de ser recibido dentro del período establecido en la página de Detalles de Campaña y deberá de cumplir con todos los demás requisitos contenidos en estas Reglas Oficiales y la página de Detalles de Campaña.
AL ENVIAR MATERIAL EN CUALQUIER FASE DE LA CAMPAÑA, TÚ GARANTIZAS A AUDPOP Y AL PATROCINADOR QUE TU MATERIAL:

No viola o infringe ningún derecho de propiedad intelectual de algún tercero (incluidos, pero no limitado a, derechos de autor, marcas registradas, nombres registrados, logos y derechos de publicidad).
No deberá contener ninguna afirmación que no pueda ser comprobada o que sea falsa y/o engañosa para un consumidor razonable
Si es aplicable, el material deberá de obedecer a las Guías FTC sobre el uso de endosos y testimonio en Publicidad (16 CFR Parte 255)
No contiene o anticipa la inclusión de cualquier contenido comercial que promueva algún producto, servicio u otro objetivo distinto al del Patrocinador.
A excepción de lo contemplado en otro lugar de estas Reglas Oficiales, el material no deberá de tener contenido del que tú no tengas el derecho de usar). Cualquier elemento que aparezca en el video, incluyendo, sin limitarse, stills, imágenes prediseñadas, material de archivo, supers, música (letras y/o melodía) u otros materiales deberán de ser tu trabajo original, creado y realizado por ti, y tendrás que tener los derechos legales de uso y proveer la doumentación legal necesaria (por ejemplo, licencias, recibos de compra, asignaciones) o ser de dominio público.
El material no deberá violar de ninguna forma la ley aplicable y las regulaciones o estándares de la red.

Si tu envío es un envío de la fase de video de la Campaña, adicionalmente deberás representar y garantizar a AudPop y al Patrocinador de dicha Campaña que has recibido el consentimiento escrito de cada persona que aparece o habla (voiceover) dentro del video. Reconoces que para ser seleccionado como ganador de una Fase de Video de Campaña, deberás de proveer las pruebas del consentimiento de cada participante dentro del video en la forma de lanzamiento de talento de AudPop completo y firmado.
Si tu envío es un envío dentro de una Fase de Video de una Campaña, adicionalmente deberás de garantizar a AudPop y al Patrocinador de dicha Campaña que has recibido un consentimiento escrito de un representante autorizado de cada locación que aparezca en el video y reconoces que deberás enviar, completar y firmar la forma AudPop Location Release para ser seleccionado como ganador de la Fase de Video de la Campaña.
Como condición para participar en la Fase de Video de cualquier campaña (incluso si es la única fase de dicha campaña) deberás de aceptar y garantizar que cada participante dentro del video haya aceptado que en caso de que su imagen o voz, incluyendo, sin limitación, su actuación o imagen en cualquier forma, como incorporada en tu material, en el todo o en una parte, sea usada en cualquier producción de acuerdo a el contrato de SAG Commercials o cualquier otro contrato SAG aplicable, según la solicitud del Patrocinador de dicha Campaña, para firmar el contrato aplicable y aceptar la cantidad mínima de compensación de acuerdo a el contrato comercial SAG o cualquier contrato SAG aplicable.
AUDPOP SE RESERVA EL DERECHO DE RECHAZAR CUALQUIER ENVÍO QUE DETERMINE, A SU DISCRECIÓN, (A) QUE CONTENGA MATERIAL INADECUADO U OFENSIVO, INCLUYENDO, SIN LIMITACIÓN, DESNUDEZ, QUE SEA SEXUALMENTE EXPLÍCITO, DESPECTIVO, DIFAMATORIO U OTRO CONTENIDO INAPROPIADO O (B) VIOLE CUALQUIER REQUISITO DE ESTAS REGLAS OFICIALES. NINGÚN ENVÍO SERÁ REGRESADO. AL REALIZAR UN ENVÍO A UNA CAMPAÑA, RECONOCES QUE TU MATERIAL PODRÁ SER PUBLICADO POR AUDPOP O EL PATROCINADOR, EN SUS SITIOS WEB, REDES SOCIALES U OTRA LOCACIÓN, A DISCRECIÓN ABSOLUTA DE AUDPOP Y EL PATROCINADOR EN CUALQUIER TERRITORIO. AL REALIZAR UN ENVÍO, RECONOCES Y ACEPTAS QUE NO TIENES DERECHO O INTERÉS DE CUALQUIER PROPIEDAD (INTELECTUAL U OTRAS) DE CUALQUIER PATROCINADOR, A EXCEPCIÓN DE QUE USES LA PROPIEDAD DE UN PATROCINADOR EN RELACIÓN A TU ENVÍO (USO PERMITIDO). EL USO PERMITIDO EN RELACIÓN A UNA CAMPAÑA EN PARTICULAR EXPIRARÁ INMEDITAMENTE EN CASO DE QUE LOS DOCUMENTOS DEL GANADOR NO SEAN ENVIADOS EN EL TIEMPO REQUERIDO DE ACUERDO A LOS TÉRMINOS DE DICHA CAMPAÑA, O ANTE EL ANUNCIO POR PARTE DE AUDPOP DEL GANADOR DE DICHA CAMPAÑA, CUALQUIER COSA QUE OCURRA PRIMERO. CUALQUIER USO DE LA PROPIEDAD DEL PATROCINADOR, ADEMÁS DE LA PERMITIDA, ESTÁ ESTRICTAMENTE PROHIBIDA. SI INFRINGES LA ORACIÓN ANTERIOR, SERÁS DESCALIFICADO DE DICHA CAMPAÑA Y PODRÁS SER EXPULSADO DEL SITIO WEB INDEFINIDAMENTE, SEGÚN LO DETERMINE AUDPOP A SU ÚNICA Y ABSOLUTA DISCRECIÓN.

b. Seleción del material ganador

Dentro de la página de Detalles de Campaña se establece el número de ganadores para los que los miembros compertirán entre ellos. Dicho número de ganadores con respecto a cualquier Campaña se considerará "in the money" a efectos de estas

Reglas Oficiales. Un equipo de jueces calificados seleccionados por el Patrocinador, incluyendo un juez principal para cada campaña, seleccionarán de los envíos elegibles basados en ciertos factores determinados por el Patrocinador. Sin limitar la oración anterior, y en adición a cualquiera factor que pueda ser establecido en la página de Detalle de Campaña, el criterio de los jueces para cualquier campaña (o fase de campaña) deberán de ser: (1) viabilidad del material como premisa para el objetivo final de la Campaña (por ejemplo, publicidad comercial, video musical, videos “how to”, etc); (2) creatividad; y (3) efectividad en la promoción de la marca como sujeto de dicha Campaña. El material con las calificaciones más altas de los jueces para dicha Campaña están señaladas en estas Reglas Oficiales como “Materiales Finalistas”, y serán elegidos, sujetos al cumplimiento de estas Reglas Oficiales, para recibir el premio designado para cada lugar establecido en la página de Detalles de Campaña de dicha Campaña. En caso de un empate, el juez principal elegirá a un ganador de acuerdo a su criterio. Si hay varios envíos substancialmente similares entre ellos, los jueces de dicha Campaña determinarán que el material enviado con anterioridad a AudPop será juzgado, y los demás serán rechazados. Todas las decisiones de los jueces son finales.

AudPop publicará los nombres de cada uno de los Miembros responsables por enviar el material finalista (cada uno será “Miembro Finalista”) en la página de Detalles de Campaña de cada Campaña. Cada Miembro Finalista deberá de completar, firmar y enviar una declaración jurada de elegibilidad, una asignación de derechos de propiedad intelectual a AudPop y otras formas necesarias (las cuales estarán disponibles para descarga en el sitio web) a AudPop en cinco (5) días ábiles después de que la fase final de dicha Campaña concluya, como condición para recibir cualquier premio. AudPop no tendrá la obligación de pagar a cualquier Miembro Finalista en el caso en que dicho Miembro Finalista no envíe en tiempo y forma las Fomas requeridas a AudPop. Cualquier miembro finalista cuyo material sea un envío ganador en cualquier fase de la Campaña podrá, sujeto a la puntualidad del envío de las formas de ganador descritas en el párrafo anterior, recibir un premio adicional por cada envío ganador. Por ejemplo, si un Miembro envía una entrada ganadora en una fase de “idea” de la Campaña, que es usada por otro Miembro en una fase subsecuente de la misma Campaña para crear una entrada ganadora en una fase de “Pitch” o “Video” de la misma campaña, siempre y cuando dicho Miembro envíe a tiempo las formas de ganador de acuerdo a lo que se dice en el párrafo anterior, en adición a recibir el premio por enviar material ganador en la fase de “Idea” de la campaña, dicho miembro puede recibir un premio por cada entrada ganadora (por ejemplo, ganar en una fase de “Pitch” y/o ganar en una fase de “Video”) que está basada en el material de la fase de “Idea” de dicho miembro.

c. Exhibición
Si AudPop y el Patrocinador acuerdan que la Campaña (o fase) tendrá un componente de exhibición, entonces todos los envíos válidos de dicha Campaña (o fase), es decir, que cumplan con los criterios de selección establecidos en estas Reglas Oficiales, serán públicados para público mayor de doce años en el sitio web durante la fase de “Exhibición” de la Campaña.
Ser vistos durante el período de exhibición de acuerdo con las instrucciones de dicha fase de la Campaña será un factor determinante para elegir al ganador (“Exhibition Viewing Winner). Para más información, ve a la página de Detalles de Campaña de cada Campaña para determinar si hay una fase de exhibición y las reglas específicas de dicha fase. Cualquier miembro sospechoso de manipular las votaciones será descalificado a discreción de AudPop o el Patrocinador.
En caso de aplicar, AudPop publicará el nombre de los ganadores de la fase de Exhibición en la página de Detalles de Campaña de dicha Campaña y dichos Miembros deberán ir a la página “My AudPop” después del cierre del período de exhibición. Cada Miembro ganador deberá de completar, firmar y enviar las Formas de Ganador (definidas anteriormente) a AudPop antes de que inicie la fase de Video de dicha Campaña como condición para recibir cualquier premio relacionado al material ganador. AudPop no tendrá la obligación de pagar ningún premio a ningún ganador de exhibición en el caso de que dicho ganador no entregue en tiempo y forma las forma de ganador a AudPop.

SECCIÓN 4: CONDICIONES GENERALES
Al participar en cualquier Campaña (o fase), accedes a respetar estas Reglas Oficiales y las decisiones tomadas por los jueces, las cuales son finales en todos los asuntos pertenecientes a cada Campaña o fase y renuncias a cualquier derecho de reclamar ambigüedad en las páginas de Detalles de Campaña o en estas Reglas Oficiales. AudPop y el Patrocinador no se hacen responsables de perdidas o entregas a destiempo.

AUDPOP SE RESERVA EL DERECHO A SU ÚNICA Y ABSOLUTA DISCRECIÓN Y SIN PREVIO AVISO, A DESCALIFICAR CUALQUIER ENVÍO EN CUALQUIER MOMENTO DURANTE LA CAMPAÑA (O FASE) SI EL MIEMBRO QUE HIZO EL ENVÍO LO PUBLICA (EN INTERNET U OTROS MEDIOS) ANTES DEL FINAL DE LA CAMPAÑA (O LA FASE).EN CUALQUIER INSTANCIA, AUDPOP SE RESERVA EL DERECHO DE EXPULSIÓN DE DICHO MIEMBRO DE LA COMUNIDAD DE AUDPOP INDEFINIDAMENTE.
EN EL CASO EN QUE UN PATROCINADOR DECIDA COMPRAR EL MATERIAL DE UN MIEMBRO, ESO NO IMPLICA QUE EL PREMIO DE DICHA FASE SEA PARA DICHO MIEMBRO. AUDPOP REMITIRÁ EL PAGO EN CUANTO RECIBA EL PAGO DEL PATROCINADOR POR DICHO MATERIAL NO GANADOR (CUYO PAGO NO DEBERÁ DE SER MENOR QUE EL PREMIO MÁS BAJO DE LAS ENTRADAS GANADORAS DE DICHO FASE DE DICHA CAMPAÑA).
PARA RECLAMAR UN PREMIO COMO RESULTADO DE ALGUNA CAMPAÑA (O FASE), A MENOS QUE ESTE PROHIBIDO POR LA LEY, DEBERÁS DE FIRMAR Y ENVIAR A AUDPOP UNA DECLARACIÓN DE ELEGIBILIDAD Y LIBERACIÓN DEL GANADOR COMO SE INDICA EN ESTAS REGLAS OFICIALES (VEÁSE ARRIBA). SI ERES MENOR DE EDAD, ENTONCES TU PADRE O TUTOR DEBERÁ DE FIRMAR LA DECLARACIÓN DE ELEGIBILIDAD Y LIBERACIÓN DEL GANADOR. PARA RECLAMAR CUALQUIER PREMIO COMO RESULTADO DE CUALQUIER CAMPAÑA (O FASE), SIN LIMITAR A LO CONTENIDO EN ESTAS REGLAS OFICIALES O EN LAS FORMAS DE GANADOR, TÚ (O TU PADRE O TUTOR EN CASO DE SER MENOR DE EDAD) DEBERÁS GARANTIZAR IRREVOCABLEMENTE Y ASIGNAR A AUDPOP, EL PATROCINADOR Y SUS AFILIADOS, PADRES, REPRESENTATES LEGALES, SUCESORES Y AGENTES EL DERECHO INCONDICIONAL Y PERPETUO Y EL PERMISO DE DERECHOS DE AUTOR, REPRODUCCIÓN, CODIFICACIÓN, ALMACENAJE, COPIAR, TRANMITIR, PUBLICAR, ADAPTAR Y CUALQUIER OTRO USO (SIN LIMITACIÓN DE DÓNDE Y CUÁNTAS VECES SEA USADO) DE TU MATERIAL, NOMBRE, IMAGEN, VOZ, ASÍ COMO CUALQUIER IMAGEN ADICIONAL, VIDEOS, RETRATOS, ENTREVISTAS O CUALQUIER OTRO MATERIAL RELACIONADO CONTIGO O TU PARTICIPACIÓN EN LA CAMPAÑA EN CUALQUIER MEDIO EN EL UNIVERSO PARA CUALQUIER PROPÓSITO, SIN LIMITACIONES Y SIN REVISIONES, COMPENSACIONES O APROBACIÓN ADICIONALES DE TI O CUALQUIER OTRA PARTE.
Tu relación con AudPop es la de un contratista independiente y nada en estas Reglas Oficiales tiene la intención de, o debe interpretarse como, la creación de una relación de empleo. No tendrás derecho a ninguno de los beneficios que AudPop pueda proporcionar a sus empleados. No tienes autorización para representar o comprometerte en nombre de AudPop, a menos que sea específicamente requerido o autorizado por escrito por AudPop. Para propósitos de estas Reglas Oficiales, (a) serás el único responsable de devolver los impuestos y pagos requeridos por cualquier autoridad federal, estatal o local respecto a tus servicios y recibimiento del premio en conexión con estas Reglas Oficiales; (b) reportarás regularmente las cifras pagadas directamente de AudPop a ti llenando la forma 1099-MISC en la medida requerida por la ley; (c) por ser un contratista independiente, AudPop no realizará pagos por seguridad social, seguro de desempleo o contribuciones al seguro de invalidez o pensiones por vejez, los cuales se miden en salarios u otras remuneraciones; y (d) AudPop no obtendrá seguros de compensación de trabajores en tu nombre. SECCIÓN 5: LIMITACIONES DE RESPONSABILIDAD Y LIBERACIÓN
Ninguna responsabilidad es asumida por AudPop, el Patrocinador o cualquier compañía matriz, subsidiaria, afiliada, agencias de publicidad y sus respectivos empleados, agentes y contractores, como resultado de tu participación o la de cualquier Miembro que intente participar en una Campaña o la capacidad de subir o bajar cualquier ibformación relacionada con la participación dentro de la Campaña. SECCIÓN 7: LISTA DE GANADORES /REGLAS / PREGUNTAS

Official Project Rules

Preferred format for video upload to the AudPop website is HD 720p 16x9. Acceptable file formats are MP4. Acceptable codecs are H.264 and you should upload a file under 500MB. You will also be required to provide a 1080p .mov or higher master file, using a ProRes, Animation, or Uncompressed Codec if you are selected for the Canela Media distribution deal.

Unless provided otherwise, all work must be your own original creation and free of any copyrighted material. You shall provide detailed information of your work regarding the source, the creator and background information as requested by AudPop and Canela Media. Canela will cover legal rights in a long-form contract with the winners after the campaign closes and the winners are chosen.

In the event you utilize any third-party materials, such as music provided by a third-party music provider not provided by AudPop, you must obtain full written license and consent from the owner of such third-party materials and must be able to provide such license and consent forms to AudPop.

Your film must be in Spanish or if it is in English, it must have Spanish subtitles.

Submissions cannot contain any profanity, offensive language, nudity or otherwise objectionable material, the determination of which is solely at the discretion of Sponsor. The rating of your film must be PG 13, PG, or G.

Submissions must not portray Sponsor in a negative way, the determination of which will solely reside with Sponsor.

By submitting to this campaign, you acknowledge that your work may become subject to public voting on the AudPop website. Public voting may be used to help the project sponsor determine the final rank order.

Filmmakers can submit as many films as they like to this challenge.

You must be at least thirteen (13) years or older to enter.

The Sponsor reserves the right to repost the contest.

In addition to the judging criteria stated in the OFFICIAL RULES, Pitches will also be evaluated on that member's ability to execute the final Video based on their prior work and experience as a filmmaker.

The Sponsor will be entitled to reasonable revisions on the finished Videos without providing additional compensation. Remember it's easier to re-edit than re-shoot so try to get as much coverage as possible.

GENERAL
Chance plays no part in the determination of the winner(s) of any contest, campaign, Campaign, open-bid, pitch request, or request for proposal (a "Campaign") administered by Audience Awards Inc DBA AudPop. ("AudPop"). Campaigns administered as contests are skill-based. These Official Rules form a binding legal agreement between you and AudPop with respect to each and every skill-based Campaign in which you participate. You will be asked to review and agree to abide by these Official Rules as well as agree to certain stipulations as a condition to any submission you make in connection with each Campaign. You must follow all instructions and submit your entries to be considered in a Campaign.

These Official Rules provide the general rules applicable to all Campaigns administered by AudPop, and each Campaign may have additional rules located on the "Campaign Details" and/or "Campaign Requirements" pages for each Campaign (collectively, the "Campaign Details Pages"), which supplement or supersede parts of these Official Rules. Any reference in these Official Rules to "Official Rules" with respect to any Campaign shall be deemed to be a reference to these Official Rules and the Campaign Details Pages for such Campaign, taken as a whole. In the event of any conflict or inconsistency between these Official Rules and the rules or other information provided on the Campaign Details Pages for any Campaign, the rules or such other information posted on the Campaign Details Pages shall govern. These Official Rules may be modified from time to time by AudPop without any notice to any Member (as defined below), and any such modifications shall be effective as of the date they are posted on the AudPop website located at https://www.AudPop.com (the "Website").

SECTION 1: ELIGIBILITY
Campaigns are open only to natural persons, thirteen (13) years or older at the time of entry (or the age as otherwise specified for a particular Campaign on such Campaign's Campaign Details Page), who are registered users of the Website (each, a "Member"). All references in these Official Rules to "You" (including references to "Your") are to you, in your capacity as a Member. A minor (for these purposes, a person under 18 years of age, or 19 years of age if such person resides in Nebraska or Alabama or under 21 years of age in Mississippi, at of the time of entry) submitting an entry for a Campaign must receive his/her parent/legal guardian's permission and include his/her parent's/legal guardian's name and contact information on the official entry form where indicated. If a minor wins a prize, the prize shall be awarded to the minor's parent or guardian, who must execute the required documentation on the minor's behalf as a condition to the payment by AudPop of any prize money. If You are a minor, any references in these Official Rules to "You" shall be deemed to be Your parent or legal guardian, on your behalf. AudPop shall have no liability with respect to disputes between You and your parent(s) or legal guardian(s).
Campaigns are not open to residents of Cuba, Iran, Syria, North Korea, Government of Sudan, and Quebec, or to other individuals restricted by U.S. export controls and sanctions, and is void in any other nation, state, or province where prohibited or restricted by U.S. or local law. The following individuals are not eligible to participate in a Campaign: employees, contractors, directors and officers of AudPop or the sponsor of a Campaign (the "Sponsor") identified on the applicable Campaign Details Pages for such Campaign, and each of their respective parent companies, subsidiaries and affiliated companies, distributors, web design, advertising, fulfillment, judging and Campaign agencies involved in the administration, development, fulfillment and execution of such Campaign (collectively, "Campaign Parties"), and any spouse, parent or child of any of the Campaign Parties.

BY ENTERING A CAMPAIGN, YOU AFFIRM THAT:

YOU ARE ELIGIBLE TO ENTER;
YOU REPRESENT AND WARRANT THAT YOU HAVE REVIEWED THE TERMS OF USE AND PRIVACY POLICY OF AUDPOP;
YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES, THE TERMS OF USE OF THE WEBSITE, AND OTHER REQUIREMENTS POSTED ON THE CAMPAIGN DETAILS PAGES;
YOU AGREE TO THAT ALL DECISIONS OF THE JUDGES, WHICH ARE FINAL, ARE BINDING AND CONCLUSIVE WITH RESPECT TO ALL MATTERS RELATING TO CAMPAIGNS;
YOU AGREE THAT YOU ARE DELIVERING SERVICES TO THE SPONSOR IN YOUR OWN NAME AND ON YOUR OWN BEHALF;
YOU UNDERSTAND THAT YOU ARE FREE TO ENTER INTO ANY CONTRACT TO PROVIDE SERVICES TO OTHER BUSINESS ENTITIES;
YOU REPRESENT, WARRANT, AND COVENANT THAT YOU ARE CUSTOMARILY ENGAGED IN PROVIDING SERVICES OF THE SAME NATURE AS THE SERVICES PROVIDED TO AUDPOP;
YOU UNDERSTAND THAT THE SERVICES YOU PROVIDE ARE OUTSIDE THE USUAL COURSE OF AUDPOP’S BUSINESS; AND
YOU ARE FREE FROM CONTROL AND DIRECTION OF AUDPOP IN PROVIDING ANY SERVICES.

SECTION 2: CAMPAIGNS
The entry periods for each Campaign, or the various Campaign phases, will be stated on the Campaign Details Pages for the Campaign. AudPop reserves the right to extend the deadline for submission of entries for any Campaign, or Campaign phase. AudPop reserves the right to suspend or cancel any Campaign, or Campaign phase.

SECTION 3: ADMINISTRATION OF CAMPAIGNS
Any Campaign may be structured differently from other Campaigns. For example, some Campaigns may have only one phase (e.g., create a music video, produce a "how to" video, or come up with a catchy tagline for a branded product or service), while others may have various phases (e.g., phase 1 is to come up with an idea for a product advertisement, phase 2 is to develop a "pitch" for such product advertisement, and phase 3 is to produce a completed 30-second video advertisement). Other Campaigns may request bids or pitches all of which will be reviewed and some of which may be selected by the Sponsor.

a. Submission of Entries
REFER TO THE CAMPAIGN DETAILS PAGES FOR THE LIMIT ON THE NUMBER OF CAMPAIGN SUBMISSIONS (EACH, AN "ENTRY") PER MEMBER. ANY ENTRY SUBMITTED IN PERSON, BY MAIL, BY FAX, OR BY ANY MEANS OTHER THAN SUBMISSION VIA THE WEBSITE WILL NOT BE ACCEPTED.
An Entry may not be submitted by more than one Member. If an Entry was developed by more than one person, only the Member who submitted the Entry into the Campaign may be awarded a prize(s). All Entries must be received during the applicable entry period stated in the Campaign Details Pages and must satisfy all other requirements contained or referred to in these Official Rules and the Campaign Details Pages.

BY SUBMITTING AN ENTRY IN ANY PHASE OF A CAMPAIGN, YOU REPRESENT AND WARRANT TO AUDPOP AND THE SPONSOR OF SUCH CAMPAIGN THAT YOUR SUBMITTED ENTRY:

Does not contain content that is in violation of or infringes any intellectual property rights of any third party (including, but not limited to, copyrights, trademarks, trade names, trade secrets, logos, and rights of publicity);
Does not contain any claim that is not and cannot be substantiated or that would be false and/or misleading to a reasonable consumer;
If applicable, is compliant with the FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255).
Does not contain or anticipate the inclusion of any commercial content that promotes any product, service or other objective other than those of the Sponsor;
Except as otherwise contemplated elsewhere in these Official Rules, does not contain content to which You do not own all right, title and interest (or have a legal right to use). Any elements appearing in a video, including, without limitation, stills, clip art, stock footage, supers, music (lyrics and/or melody) or other materials must be Your own original work created and performed by You, work that You have a legal right to use and for which You can provide proper legal documentation (e.g. licenses, assignments, purchase receipts), or be in the public domain; and
Does not in any other way violate applicable laws and regulations or network standards.

If your Entry is an Entry in a Video Phase of a Campaign, You additionally represent and warrant to AudPop and the Sponsor of such Campaign that You have received written consent from every person who appears in or is heard (i.e. voiceover) in Your Entry (each, a "Video Participant") for such Video Participant's inclusion in such Entry, and You acknowledge that to be eligible to be selected as a winner of a Video Phase of a Campaign, You shall be required to provide proof of each Video Participant's consent in the form of a completed and signed AudPop Talent Release.

If your Entry is an Entry in a Video Phase of a Campaign, You additionally represent and warrant to AudPop and the Sponsor of such Campaign that You have received written consent from an authorized representative of every location that appears in Your Entry for inclusion in such Entry, and You acknowledge that You shall submit a completed and signed AudPop Location Release form to be eligible to be selected as a winner of a Video Phase of a Campaign.

As a condition of participating in the Video Phase of any Campaign (even if it is the sole phase of such Campaign), You agree, and represent and warrant that each Video Participant has agreed that in the event any of his or her likeness or voice, including, without limitation, performance and image in any form, as incorporated in Your Entry, in whole or in part, is used in any production such that the use is subject to the SAG Commercials Contract or any other applicable SAG contract, at the request of the Sponsor of such Campaign, to sign the applicable contract and accept the minimum amount of compensation due him or her pursuant to the SAG Commercials Contract or such other applicable SAG contract.

AUDPOP RESERVES THE RIGHT TO REJECT ANY ENTRY THAT IT DETERMINES, IN ITS SOLE AND ABSOLUTE DISCRETION, (A) CONTAINS UNSUITABLE OR OFFENSIVE CONTENT, INCLUDING, WITHOUT LIMITATION, NUDITY, SEXUALLY EXPLICIT, DISPARAGING, LIBELOUS OR OTHER INAPPROPRIATE CONTENT, OR (B) VIOLATES ANY OF THE REQUIREMENTS OF THESE OFFICIAL RULES. NO ENTRIES WILL BE RETURNED. BY SUBMITTING AN ENTRY TO A CAMPAIGN, YOU ACKNOWLEDGE THAT YOUR ENTRY MAY BE POSTED BY AUDPOP OR SPONSOR, ON THEIR WEBSITES, IN SOCIAL MEDIA, ON BROADCAST, OR ANY OTHER LOCATION, IN THE SOLE AND ABSOLUTE DISCRETION OF AUDPOP AND THE SPONSOR IN ANY TERRITORY. BY SUBMITTING AN ENTRY, YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE NO RIGHT, TITLE, OR INTEREST IN OR TO ANY PROPERTY (INTELLECTUAL OR OTHERWISE) OF ANY SPONSOR ("SPONSOR PROPERTY"), EXCEPT TO THE EXTENT THAT YOU USE SPONSOR PROPERTY IN CONNECTION WITH YOUR ENTRY (A "PERMITTED USE"). EACH PERMITTED USE IN CONNECTION WITH A PARTICULAR CAMPAIGN WILL EXPIRE IMMEDIATELY UPON (A) YOUR FAILURE TO SUBMIT THE APPLICABLE WINNER FORMS WITHIN THE TIME REQUIRED PURSUANT TO THE TERMS OF SUCH CAMPAIGN, OR (B) UPON AUDPOP'S ANNOUNCEMENT OF THE WINNING ENTRIES IN SUCH CAMPAIGN, WHICHEVER OCCURS FIRST. ANY USE OF ANY SPONSOR PROPERTY OTHER THAN A PERMITTED USE IS STRICTLY PROHIBITED. IF YOU VIOLATE THE IMMEDIATELY PRECEDING SENTENCE, YOU SHALL BE DISQUALIFIED FROM SUCH CAMPAIGN AND MAY BE BARRED FROM THE WEBSITE INDEFINITELY, AS DETERMINED BY AUDPOP IN ITS SOLE AND ABSOLUTE DISCRETION.

b. Selection of Entry Winners
The Campaign Details Pages for each Campaign will set forth the number of winning places for which Members are competing against one another. Those places with respect to any Campaign will be considered "in the money" for purposes of these Official Rules. A team of qualified judges selected by the Sponsor, including a head judge for each Campaign (the "Head Judge"), will select from the eligible Entries based on certain factors determined by the Sponsor. Without limiting the preceding sentence, and in addition to any factors that may be separately stated on the Campaign Details Pages for a Campaign, the judging criteria for any Campaign (or phase of any Campaign) shall be: (1) viability of the Entry as a premise for the final objective of the Campaign (e.g., commercial advertisement, music video, how-to-video, etc.); (2) creativity; and (3) effectiveness in promotion of the brand that is the subject of such Campaign. The Entries with the highest rankings from the judges for such Campaign are referred to in these Official Rules as the "Entry Finalists," and will be eligible, subject to the other provisions of these Official Rules, to receive the prize designated for such place of finish in the money on the Campaign Details Pages for such Campaign. In the case of a tie, the tie will be broken by the ranking of the Head Judge based the judging criteria. If multiple Entries in a Campaign are substantially similar to one another, as determined by the judges for such Campaign, the Entry that was first submitted to AudPop will be judged, and all other substantially similar Entries will be rejected. All decisions of the judges are final.
AudPop will post the name of each of the Members responsible for submitting the Entry Finalists (each, a "Finalist Member") on the Campaign Details Pages for such Campaign and such Member's "Dashboard" page promptly after the close of the Entry Period. Each Finalist Member must complete, sign and submit a Winner Affidavit of Eligibility & Release, a AudPop Intellectual Property Rights Assignment, and the relevant release forms (all of which are available for download from the Website) (collectively, the "Winner Forms") to AudPop within five (5) business days after the completion of the final phase of such Campaign as a condition to receiving any prize in connection with such Member's winning Entry. AudPop shall have no obligation to pay any prize to any Finalist Member in the event that such Finalist Member fails to timely submit the Winner Forms to AudPop.
Any Finalist Member whose Entry is the basis of a winning Entry in any subsequent phase of a Campaign may, subject to such Member's timely submission of the Winner Forms described in the immediately preceding paragraph, receive an additional prize for each winning entry that is based upon such Finalist Member's Entry. For example, and without limiting any provision of these Official Rules, if a Member submits a winning Entry in an "Idea" phase of a Campaign, which is used by another Member in a subsequent phase of the same Campaign to create a winning Entry in a "Pitch" or "Video" phase of the same Campaign, as long as such Member timely submits the Winner Forms as provided in the immediately preceding paragraph, in addition to receiving a prize for submitting a winning Entry in the "Idea" phase of the Campaign, such Member may receive a prize for each winning Entry (e.g., a winning "Pitch" Phase Entry and/or winning "Video" Phase Entry) that was based on such Member's "Idea" Phase Entry.

c. Exhibition Viewing
If AudPop and the Sponsor agree that a Campaign (or phase thereof) will have an exhibition viewing component, then all valid entries for such Campaign (or phase thereof), i.e., all entries that satisfy the eligibility criteria stated in these Official Rules, will be posted for the public (ages thirteen or older) to view at the Website during the "Exhibition Viewing" phase of a Campaign (the "Exhibition Viewing Period"). Being viewed during the Exhibition Viewing Period in accordance with the on-screen instructions for such phase of a Campaign will be a factor in determining the exhibition viewing winner (the "Exhibition Viewing Winner"). See the Campaign Details Pages for each Campaign to determine whether there is an Exhibition Viewing Period for such Campaign and to view the specific rules related to the Campaign. Any Member that engages in or is suspected of engaging in vote farming, vote exchanges, or any other form of vote manipulation, will be disqualified at AudPop or Sponsor's discretion.
If applicable, AudPop will post the name of the Exhibition Viewing Winners on the Campaign Details Pages for such Campaign and such Member's "My AudPop" page promptly after the close of the Exhibition Viewing Period. Each Exhibition Viewing Winner must complete, sign and submit Winner Forms (as defined above) to AudPop prior to the completion of the Video Phase of such Campaign as a condition to receiving any prize in connection with such Member's Entry. AudPop shall have no obligation to pay any prize to any Exhibition Viewing Winner in the event that such Exhibition Viewing Winner fails to timely submit the Winner Forms to AudPop.

SECTION 4: GENERAL CONDITIONS
By participating in any Campaign (or phase thereof), You agree to be bound by these Official Rules and the decisions of the judges, which are final on all matters pertaining to any Campaign or phase thereof, and You waive any right to claim ambiguity in any Campaign Details Pages or these Official Rules. Neither AudPop nor the Sponsor is responsible for lost, late, or misdirected entries or submissions.

AUDPOP RESERVES THE RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION AND WITHOUT ANY NOTICE, TO DISQUALIFY ANY ENTRY AT ANY TIME DURING A CAMPAIGN (OR PHASE THEREOF) IF THE MEMBER WHO SUBMITTED SUCH ENTRY PUBLISHES IT (VIA THE INTERNET OR OTHERWISE) PRIOR TO THE COMPLETION OF THE CAMPAIGN (OR FINAL PHASE THEREOF). IN ANY SUCH INSTANCE, AUDPOP RESERVES THE RIGHT TO EXPEL SUCH MEMBER FROM THE AUDPOP COMMUNITY INDEFINITELY.
IN THE EVENT THAT A SPONSOR CHOOSES TO PURCHASE ANY ENTRY OF A MEMBER THAT DOES NOT PLACE IN THE MONEY FOR ITS RESPECTIVE PHASE OF SUCH SPONSOR'S CAMPAIGN (A "NON-WINNING ENTRY"), THEN AUDPOP WILL REMIT PAYMENT TO SUCH MEMBER AS SOON AS COMMERCIALLY PRACTICABLE AFTER RECEIPT BY AUDPOP OF PAYMENT FROM SPONSOR FOR SUCH NON-WINNING ENTRY (WHICH CONSIDERATION SHALL BE VALUED AT NO LESS THAN THE LOWEST VALUE PRIZE AWARDED TO A WINNING ENTRY IN SUCH PHASE OF SUCH CAMPAIGN).
TO CLAIM ANY PRIZE AS A RESULT OF ANY CAMPAIGN (OR PHASE THEREOF), UNLESS PROHIBITED BY LAW, YOU MUST SIGN AND RETURN TO AUDPOP A WINNER AFFIDAVIT OF ELIGIBILITY AND RELEASE AS INDICATED IN THESE OFFICIAL RULES (SEE ABOVE). IF YOU ARE A MINOR, THEN YOUR PARENT OR LEGAL GUARDIAN MUST SIGN THE WINNER AFFIDAVIT OF ELIGIBILITY AND RELEASE. TO CLAIM ANY PRIZE AS A RESULT OF ANY CAMPAIGN (OR PHASE THEREOF), WITHOUT LIMITING ANYTHING ELSE CONTAINED IN THESE OFFICIAL RULES OR THE WINNER FORMS, YOU (OR YOUR PARENT OR LEGAL GUARDIAN IF YOU ARE A MINOR) MUST IRREVOCABLY GRANT AND ASSIGN TO AUDPOP, THE SPONSOR AND ITS AFFILIATES, PARENTS, SUBSIDIARIES, LEGAL REPRESENTATIVES, SUCCESSORS, ASSIGNS, AGENTS AND LICENSEES, THE UNCONDITIONAL, SUBLICENSABLE, AND PERPETUAL RIGHT AND PERMISSION TO COPYRIGHT (AS APPROPRIATE), REPRODUCE, ENCODE, STORE, COPY, TRANSMIT, PUBLISH, POST, BROADCAST, DISPLAY, PUBLICLY PERFORM, ADAPT, EXHIBIT AND/OR OTHERWISE USE OR REUSE (WITHOUT LIMITATION AS TO WHEN OR TO THE NUMBER OF TIMES USED), YOUR ENTRY, NAME, CITY OF RESIDENCE, IMAGE, VOICE, LIKENESS, STATEMENTS AND BIOGRAPHICAL MATERIAL, AS WELL AS ANY ADDITIONAL PHOTOGRAPHIC IMAGES, VIDEO IMAGES, PORTRAITS, INTERVIEWS OR OTHER MATERIALS RELATING TO YOU AND ARISING OUT OF YOUR PARTICIPATION IN A CAMPAIGN IN ANY MEDIA THROUGHOUT THE UNIVERSE FOR ANY PROPER PURPOSE, WITHOUT LIMITATION, AND WITHOUT ADDITIONAL REVIEW, COMPENSATION, OR APPROVAL FROM YOU OR ANY OTHER PARTY.
Your relationship with AudPop is that of an independent contractor, and nothing in these Official Rules are intended to, or should be construed to, create a employment relationship. You will not be entitled to any of the benefits that AudPop may make available to its employees. You are not authorized to make any representation, contract, or commitment on behalf of AudPop unless specifically requested or authorized in writing to do so by AudPop. For the purposes of these Official Rules, (a) you will be solely responsible for all tax returns and payments required to be filed with or made to any federal, state or local tax authority with respect to your performance of services and receipt of prizing in connection with these Official Rules; (b) you will regularly report amounts, if any, paid directly to you by AudPop by filing Form 1099-MISC with the Internal Revenue Service to the extent required by law; (c) because you are an independent contractor, AudPop will not withhold or make payments for social security, make unemployment insurance or disability insurance contributions, or old age pensions or annuities or social security payments which are measured by wages, salaries or other remuneration paid to you; and (d) the AudPop will not obtain workerâs compensation insurance on your behalf. You agree to accept exclusive liability for complying with all applicable state and federal laws governing self-employed individuals, including obligations such as payment of taxes, social security, disability and other contributions based on fees paid to you, your agents, or your employees. You are free to enter into any contract to provide services to other business entities and you represent and warrant that you are customarily engaged in the providing of services of the same nature as the services provided to AudPop. The services you are providing are outside the usual course of AudPop’s business. You are free from control and direction of AudPop in the providing any services.
Winners of any phase of a Campaign may also be required to sign additional documents, as deemed necessary by AudPop or the Sponsor in their sole and absolute discretion, to effectuate the terms and conditions set forth in these Official Rules. The absence of any such additional documents shall not diminish the effect of any license, assignment or transfer of any rights by You to AudPop, the Sponsor or its respective successors and assigns. The Member is the one individual person who registered on the Website to participate in the Campaign. In the event of dispute regarding the identity of a Member, the dispute will be resolved in favor of the individual who is both the authorized Campaign registrant and, if available, the Authorized Email Account Holder of the Member who registered to participate in the Campaign. "Authorized Email Account Holder" is defined as the natural person assigned an email address by an Internet access provider, online service provider, or other organization (i.e., business, educational institution) responsible for assigning email addresses for the domain associated with the submitted email address.
Except as otherwise stated herein, any personal information about You collected in connection with any Campaign will be used and disclosed only in accordance with the Privacy Policy of AudPop, access to which is provided on the Website. By entering a Campaign, You expressly agree to receive email notifications from AudPop regarding the status of such Campaign. Unless You indicate that You do not wish to receive email from AudPop, You may also receive AudPop's email regarding AudPop's products and services and other information that might be of interest to You.
If for any reason a Campaign is not capable of running as planned, including without limitation, lack of qualified entries, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of such Campaign, AudPop reserves the right, at its sole discretion, to cancel, modify or terminate such Campaign. However, Sponsor is not able to cancel for convenience once a Campaign is live on the Website. AudPop reserves the right, in its sole and absolute discretion, to disqualify any individual deemed to be (a) tampering or attempting to tamper with the entry process or the operation of a Campaign; (b) violating these Official Rules; or (c) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. AudPop reserves the right to require any potential winner of any phase of a Campaign to submit to a confidential background check to confirm eligibility as a condition of awarding the prize to help ensure that the use of any such person in advertising or publicity for such Campaign will not bring any of the Campaign Parties into public disrepute, contempt, scandal or ridicule or reflect unfavorably on such Campaign as determined by Sponsor in its sole and absolute discretion.
If any provision of these Official Rules shall be deemed to violate any federal, state or municipal law, such provision shall be deemed to be amended to conform to such law and all other provisions shall remain in full force and effect. The interpretation and enforcement of these Official Rules will be governed by the laws of the State of California, USA, except to the extent required to be governed by the local law in the place of residence of a Member. Each Campaign is subject to all applicable national, federal, provincial, state and local laws

SECTION 5: LIMITATIONS OF LIABILITY AND RELEASE

No liability or responsibility is assumed by AudPop, the Sponsor or any of their respective parent companies, subsidiaries, affiliates, successors, assigns, advertising and promotions agencies, and their respective employees, agents and contractors ("Released Parties") resulting from Your or any other Member's participation in or attempt to participate in a Campaign or ability or inability to upload or download any information in connection with participating in a Campaign. No responsibility or liability is assumed by the Released Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of a Campaign: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any email transmissions to be sent or received; lost, late, delayed or intercepted email transmissions; inaccessibility of the Website in whole or in part for any reason; traffic congestion on the Internet or the Website; unauthorized human or non-human intervention in the operation of a Campaign, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of a Campaign, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with a Campaign. None of the Released Parties are responsible for any typographical errors in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on the Website. Use of the Website is at Your own risk.
None of the Released Parties are responsible for any death, personal injury or property damage or loss of any kind which may be sustained by You or any other Member or any third party, regardless of whether or not the third party is participating in the Campaign, from participation in any Campaign (or phase thereof), use of the Website, or the downloading of any information from the Website. By participating in a Campaign, You release and agree to hold harmless each of the Released Parties from and against any and all claims, damages or liabilities arising from or relating to Your participation in any Campaign, including, without limitation, death, personal injury or property damage. None of the Released Parties shall be liable to any third parties for any claims, damages or liabilities arising from or relating to Your participation in any Campaign, including, without limitation, death, personal injury or property damage. By accepting a prize in a Campaign, You agree that the Released Parties shall not be liable for any death, loss or injury resulting from participation in such Campaign, or the acceptance or use of any prize. None of the Released Parties shall be liable in the event that any portion of a Campaign is cancelled due to condition beyond their control, including, without limitation, a lack of significant participation, as determined by AudPop, in its sole and absolute discretion.
None of the Released Parties are liable for any dispute between collaborators arising under or related to a Campaign, including, without limitation, the distribution of any prize within a group of collaborators. In the event of a dispute between collaborators or regarding the identity of a Member that cannot be resolved to AudPop's satisfaction, the affected Member (and his or her Entry) may be deemed to be ineligible to participate in a Campaign.
By entering a Campaign, You agree that any and all other disputes, claims, actions and causes of action arising out of or connected with such Campaign or the prizes awarded, and all issues and questions concerning the validity, interpretation and enforceability of these Official Rules shall be resolved individually, without resort to any form of class action, and exclusively in a federal or state court of competent jurisdiction sitting in Los Angeles, California. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and, subject to applicable law, never shall include consequential, incidental or punitive damages, and in no event attorneys' fees or costs.
You agree that the releases in these Official Rules are intended to apply to all claims whether or not known or suspected to exist with the intent of waiving the effect of California Civil Code Section 1542 and other laws requiring the intent to release future unknown claims. You represent and warrant that you are familiar with Section 1542 of the California Civil Code, which provides as follows:

A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially effected his or her settlement with the debtor.

With full awareness of and understanding of this provision, You waive and voluntarily relinquish any right or benefit You may have under Section 1542 of the California Civil Code, and any similar provision of statutory or non-statutory law of any other jurisdiction, to the fullest extent that You may lawfully waive all such rights and benefits pertaining the subject matter of these Official Rules.
CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF A CAMPAIGN MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION AND EXPULSION FROM THE WEBSITE AND AUDPOP COMMUNITY. SHOULD SUCH AN ATTEMPT BE MADE, AUDPOP RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS' FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

SECTION 6: INDEMNIFICATION

You agree to indemnify, defend and hold the Released Parties harmless from and against any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Released Parties due to or arising out of or reasonably related to Your participation in a Campaign, including, but not limited to, bodily injury, death, property damage, violation or infringement of trademark, copyright, or other intellectual property rights, right of publicity, right of privacy and defamation. You agree to release and indemnify and hold harmless each of the Released Parties from and against any and all claims that any Campaign entry, advertising, promotion, presentation, Web content or any other material subsequently produced, presented, and/or prepared by or on behalf of any of the Released Parties (individually or collectively) infringes on the rights of Your work as contained in any such Entry.

SECTION 7: WINNERS LIST/RULES/QUESTIONS

The names of the winners of each phase of a Campaign will be available on the Website for at least sixty (60) days after the completion of the final phase of such Campaign, unless the Sponsor requests that the winners remain private. IN the event that the winners are made private, you may request to see the winners list. See the Website for more information.
